PLEASE READ THIS TERMS OF USE AGREEMENT CAREFULLY BEFORE ACCESSING OR USING OUR WEBSITE. BY PROCEEDING, YOU AGREE TO THESE BINDING TERMS.

This Terms of Use Agreement (referred to herein as the “Agreement”) sets forth the legally binding terms for your use of the services provided by Seek.ng (the “Site” or “Service”). This Agreement constitutes a contractual relationship between you (the “User”) and Seek.ng (“we,” “us,” or “our”).

By accessing, browsing, or using the Site in any manner, you explicitly acknowledge that you have read, understood, and agree to be bound by this Agreement and to comply with all applicable laws and regulations. If you do not agree to all of these terms and conditions, you are not permitted to use this Site.

1. General Acceptance and Service Overview

Seek.ng is an online job portal dedicated to facilitating connections between job seekers and employers primarily within Nigeria. The Site, including all information, tools, and services accessible from it, is offered to you based entirely on your acceptance without modification of this Agreement and all operational rules or policies that may be published on the Site.

2. User Eligibility and Contractual Capacity

By using this Site, you represent and warrant that you are at least 18 years of age and possess the full legal capacity and competence to enter into a binding contract with Seek.ng. Furthermore, if you are using the Site on behalf of a company or any other legal entity, you represent that you have the requisite authority to legally bind that entity to the terms and conditions of this Agreement.

3. Account Registration and Security Obligations

To access certain advanced features and services, you must complete the required account registration process. In doing so, you explicitly agree to the following conditions:

Accurate Information: You must provide information that is accurate, current, and complete during registration.
Maintenance and Updates: You are obligated to maintain and promptly update your account information to ensure its continued accuracy and completeness.
Password Security: You are responsible for keeping your password confidential and secure, and you accept all risks associated with unauthorized access to your account due to your failure to maintain security.
Security Breach Notification: You must notify us immediately at ask@seek.ng if you discover or reasonably suspect any unauthorized access or security breach related to your account.

You are solely responsible for all activities that occur under your account. Seek.ng reserves the absolute right to suspend or terminate your account if any information provided is determined to be false, inaccurate, or incomplete.

4. User Conduct, Prohibited Activities, and Content Responsibility

You bear sole responsibility for all content you post, upload, transmit, or otherwise make available on the Site. You expressly agree and covenant not to use the Site to:

Post Illegal or Harmful Content: Post content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, or otherwise hateful.
Impersonation: Impersonate any person or entity or deliberately misrepresent your true affiliation with any person or entity.
Intellectual Property Violation: Infringe upon any patent, trademark, trade secret, copyright, or other proprietary rights of any third party.
Spam and Solicitation: Post unsolicited or unauthorized advertising, “junk mail,” “spam,” chain letters, pyramid schemes, or any other unauthorized form of commercial solicitation.
Malicious Software: Upload or transmit any malicious code, such as viruses, worms, or trojan horses, or any other harmful or technologically disruptive component.
System Interference: Engage in any activity that interferes with or disrupts the Site, its servers, or its connected networks.

5. Specific Terms for Job Seekers and Employers

A. Terms for Job Seekers

You explicitly acknowledge that applying for a job through the Site necessitates sharing your personal data (including your CV, contact details, and qualifications) directly with prospective employers. Seek.ng is not responsible for how employers subsequently use, retain, or manage this data. Furthermore, we offer no guarantee of job offers, interviews, or employment as a result of using the Service.

B. Terms for Employers

You are entirely responsible for the factual accuracy and legality of all job postings you submit. You specifically agree not to post jobs that discriminate on illegal grounds (e.g., race, religion, gender, etc.) or that in any way misrepresent the true nature of the employment opportunity. You are also responsible for handling all job applications and applicant data in full compliance with all applicable data protection and employment laws.

6. Intellectual Property Rights

The Site, including its original content, features, and overall functionality, remains the exclusive property of Seek.ng and is protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not modify, publish, transmit, reverse engineer, participate in the transfer or sale of, create derivative works from, or in any way exploit any of the material on the Site without our express prior written permission.

7. License for User-Generated Content

By posting, uploading, or submitting content to the Site, you hereby grant Seek.ng a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, adapt, publish, translate, and display that content to the extent necessary to operate and provide the Site’s services. This license automatically terminates upon your deletion of the specific content or the termination of your account.

8. Links to External Third-Party Websites

The Site may incorporate links that direct you to external, third-party websites or services. These links are provided solely for your convenience and informational purposes. Seek.ng maintains no control over, and assumes absolutely no responsibility for, the content, privacy policies, or practices of any third-party sites or services. You acknowledge and agree that you access any such external sites entirely at your own risk.

9. Termination of Use

We reserve the right, in our sole discretion and without prior notice, to suspend or permanently terminate your account and your access to the Site for any reason, including, without limitation, a breach of this Agreement. Immediately upon termination, your right to use the Site will cease. All provisions of this Agreement which, by their nature, should logically survive termination (including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability) shall survive.

10. Disclaimer of Warranties and Limitation of Liability

THE SITE AND ALL OF ITS SERVICES ARE PROVIDED TO YOU STRICTLY ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND. SEEK.NG EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. YOUR USE OF THE SITE IS AT YOUR SOLE RISK.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SEEK.NG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, DATA, OR OTHER INTANGIBLES, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR ITS SERVICES.

11. User Indemnification

You agree to indemnify, defend, and hold harmless Seek.ng, including its officers, directors, employees, and agents, from and against any and all claims, demands, damages, obligations, losses, liabilities, costs, debt, and expenses (including, but not limited to, attorney’s fees) arising from: (a) your use of and access to the Site; (b) your violation of any specific term of this Agreement; or (c) your violation of any third-party right, including, without limitation, any intellectual property or privacy right.

12. Governing Law and Mandatory Dispute Resolution

This Agreement shall be governed by and construed exclusively in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles. Any legal dispute or claim arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the competent courts located in Enugu State, Nigeria.

13. Changes to the Terms of Use

We reserve the right, at our sole discretion, to update, modify, or replace any part of this Agreement at any time without providing you with specific prior notice. Your continued use of or access to the Site following the posting of any changes constitutes immediate acceptance of those new Terms. It remains your fundamental responsibility to review this Agreement periodically for any and all changes.

14. Privacy Policy Incorporation

Your usage of the Site is also subject to and governed by our Privacy Policy, the terms of which are hereby fully incorporated into this Agreement by reference. Please thoroughly review our Privacy Policy to understand our data collection and handling practices.
